Standard terms and conditions governing all sales of Data I/O products and services.
Standard Terms of Sale
The following terms and conditions govern all sales of products and services by Data I/O Corporation ("Data I/O") to customers ("Buyer"). By placing an order with Data I/O, Buyer agrees to these terms and conditions.
1. Acceptance
All orders are subject to acceptance by Data I/O. Data I/O may accept or reject any order in whole or in part. These terms and conditions supersede any terms in Buyer's purchase order or other documents.
2. Pricing
Prices are as quoted or as listed on the current price list at the time of order. Prices are subject to change without notice. All prices are in U.S. dollars unless otherwise specified.
3. Payment Terms
Unless otherwise agreed in writing, payment terms are net 30 days from date of invoice. Data I/O reserves the right to require payment in advance or to modify credit terms at any time.
4. Shipping and Delivery
All shipments are FOB shipping point. Risk of loss passes to Buyer upon delivery to the carrier. Delivery dates are estimates and are not guaranteed. Data I/O shall not be liable for delays in delivery.
5. Warranty
Data I/O warrants that products will be free from defects in materials and workmanship for a period of one (1) year from the date of shipment. Data I/O's sole obligation under this warranty is to repair or replace the defective product. This warranty does not cover damage resulting from misuse, accident, modification, or unauthorized repair.
6. Limitation of Liability
In no event shall Data I/O be liable for any indirect, special, incidental, or consequential damages. Data I/O's total liability shall not exceed the purchase price of the products giving rise to the claim.
7. Export Compliance
Buyer agrees to comply with all applicable export control laws and regulations. Products may not be exported or re-exported in violation of U.S. export control laws.
8. Governing Law
These terms shall be governed by the laws of the State of Washington, without regard to conflict of law principles. Any disputes shall be resolved in the courts of King County, Washington.
